1. General

1.1 These Terms and Conditions (“Terms”) apply to all quotations, sales, and deliveries made by JH Chairs Ltd (“the Company”).
1.2 By placing an order or opening a credit account, the customer (“the Buyer”) agrees to be bound by these Terms.
1.3 No variation to these Terms shall apply unless agreed in writing by a Director of the Company.

2. Products

2.1 The Company supplies ergonomic office seating and associated furniture (“the Goods”).
2.2 Product descriptions, specifications, and images are provided for guidance only. The Company reserves the right to make improvements or design changes without notice.

3. Prices

3.1 All prices are quoted in GBP (£) and exclude VAT unless otherwise stated.
3.2 Prices exclude delivery, installation, and any other services unless specified.
3.3 The Company reserves the right to amend prices prior to order confirmation.

4. Orders

4.1 Orders must be confirmed in writing (via email or purchase order).
4.2 Once accepted by the Company, orders cannot be cancelled without written agreement.
4.3 The Company reserves the right to refuse any order without explanation.

5. Payment Terms

5.1 Unless otherwise agreed, payment terms are Pro Forma (payment prior to dispatch).
5.2 Approved trade credit accounts are strictly 30 days from invoice date.
5.3 Overdue accounts may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
5.4 Ownership of goods remains with JH Chairs Ltd until full payment is received for all goods and services supplied.

6. Delivery

6.1 Delivery dates are estimates only and time shall not be of the essence.
6.2 Risk passes to the Buyer upon delivery or collection.
6.3 Any damages or shortages must be reported within 48 hours of receipt.

7. Returns & Cancellations

7.1 Returns are accepted only with prior written authorisation.
7.2 Custom-made or special-order goods (including non-standard fabrics or colours) are non-returnable.
7.3 Returned goods must be unused, in original packaging, and returned within 14 days of authorisation.
7.4 A restocking charge of up to 25% may apply.

8. Warranty

8.1 All JH Chairs products are covered by a 10-year manufacturer’s warranty against manufacturing defects (fair wear and tear excepted).
8.2 Warranty claims must include proof of purchase and photographic evidence.
8.3 The warranty does not cover misuse, neglect, or unauthorised modifications.
8.4 The Company reserves the right to repair or replace defective parts at its discretion.

9. Liability

9.1 The Company shall not be liable for indirect, incidental, or consequential losses arising from the use or inability to use the Goods.
9.2 Liability for defective products is limited to the value of the Goods supplied.

10. Intellectual Property

10.1 All trademarks, product names, imagery, and content remain the property of JH Chairs Ltd and may not be reproduced without written consent.

11. Governing Law

11.1 These Terms and Conditions shall be governed by the laws of England and Wales.
11.2 Any disputes shall be subject to the exclusive jurisdiction of the English courts.
